SCHEDULE "A"
DELIVERY MATERIAL

Licensor will deliver to Distributor for each Film or episode of each Film (as the case may be) which is licensed to the Distributor herein:-

1. One single first generation NTSC D1 Mastertape containing the complete finished film and conforming to broadcast quality standards. The mastertape should contain on audio tracks 1 & 2 the final mixed stereo audio sound track recorded in Dolby A noise reduction format and with a continuous non-drop frame SMPTE/EBU time code. Audio tracks 3 & 4 should contain the combined stereo music and effects tracks synchronized exactly to the complete finished film.

For films that contain non-English text (such as the end credits or captions during the film), Licensor will supply whenever possible textless, titleless backgrounds transferred from either the original telecine masters or videotape masters to NTSC D2 Mastertape.

2. Combined Music and Effects Tracks synchronised to the Film by continuous non-drop frame SMPTE/EBU NTSC time code on Digital Audio Tape (DAT).

3. Laboratory access letter granting access throughout the Term to any and all material necessary for the Distributor to make 35mm release prints of the Film and 35mm trailers of the Film (in Japanese language with subtitles and/or in any non-Japanese language version which may be produced by Distributor) for theatrical distribution and exhibition in the Territory. Such access letter(s) must give Distributor access to, without limitation: Interpositive; combined Music and Effects Tracks with synch references in 35mm format.

4. One type written copy in both the Japanese Language and English Language of a detailed combined dialogue and action ("cutting") continuity/script of the Film conformed in all respect to the dialogue and action contained in the Film.

5. One type written copy (in the English language) of the statement of credits taken directly from the main titles and end credits and appearing in the same order as the original Japanese version.

6. A list of main credits and copyright notice (as detailed in Schedule "C") which may be used by Distributor in posters, packaging, advertising and publicity and a list of any restrictions which may be applicable to the Film in respect of the Distribution Rights in the Territory.

7. One type written copy (in the English language) of the music cue sheet to the Film and samples of each track contained thereon. If a music cue sheet is not available, then Licensor shall specify so in a written notice to the Distributor. Licensor acknowledges that Distributor is not responsible for payments of any kind with regard to the use of the music in the Film and Licensor shall indemnify and hold Distributor harmless therefrom.

8. At least twenty (20) original (or duplicates suitable for the preparation and printing of first class reproductions) 35mm colour transparencies depicting key scenes and suitable (in quality and layout) and any other pre-existing material (such as PMTs of Film titles and credit blocks) for use by Distributor in the preparation and production of artwork for theatrical posters and/or packaging for Videograms.

9. One copy of such other advertising, publicity and exploitation materials as Licensor may have available for use by the Distributor in the preparation and production of materials required for the exploitation of the Film.

10. One copy of the Videogram(s) of the Film (including its packaging) as released in Japan.

11. An original certified copy of the Certificate of Origin of the Film(s) from the Movie producer's Association of Japan.

12. A Producer/Owner Attestation Letter (on Licensor's headed notepaper) confirming Licensor's chain of title/ownership to the Film(s) - a (blank) example of which is annexed to this Agreement along with complete copies of each document comprising such chain of title.

13. Copies of music agreements, employment agreements with; principal actors; producer(s); director(s), and all licenses, contracts, assignments and/or written permissions to the underlying rights permitting the use of musical, literary, dramatic, and/or other material whatsoever used in the production of the Film.

In addition to the foregoing, Licensor agrees to supply Distributor (as Distributor's cost which shall be a recoupable expense added to the Advance) such other delivery material as may be reasonably required by the Distributor for the full and complete exercise of its Distribution Rights under this Agreement.
